Terms of Service (App)

1. Definitions

"Service" means the Lab Laps mobile application, related websites, APIs, and any services provided by Lab Laps in connection with the app. "We," "us," and "our" refer to Lab Laps and its affiliates, successors, and assigns. "You" and "your" refer to the individual or entity using the Service. "User Content" means any content you create, upload, store, or transmit through the Service. "Terms" means these Terms of Service. "Privacy Policy" means our privacy policy available at https://www.lablaps.com/app/privacy, which is incorporated into these Terms by reference.

2. Acceptance of Terms

By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms or the Privacy Policy, do not use the Service.

Our Privacy Policy describes how we collect, use, and protect your information and is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.

3. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use the Service. If you are between 13 and 18 years of age, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. If you are under 13, you may not use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Description of Service

Lab Laps is a native mobile application designed to help users create, organize, and run laboratory workflows. Features may include:

  • Creating and managing projects, steps, and timers
  • Organizing workflow steps and lab protocols
  • Cloud sync (if enabled) and local device storage
  • Project sharing via links
  • Scan-to-project from images, PDFs, or text (including AI-assisted parsing where available)
  • Uploading and storing step images
  • Account management, sign-in, and subscription features

Some features are available only with a paid subscription ("Lab Laps Pro"), as described in Section 9. We may modify, suspend, or discontinue any part of the Service at any time with or without notice.

5. User Accounts

Some features require an account. When creating or using an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your login credentials secure and confidential
  • Accept responsibility for all activity under your account
  • Notify us immediately of any unauthorized use of your account or any other breach of security

We may suspend or terminate your account if you violate these Terms, applicable law, or if we reasonably believe your use of the Service creates risk or liability for us or others.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Infringe upon the intellectual property, privacy, or other rights of others
  • Transmit any malicious code, viruses, or harmful data, or attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use bots, scripts, or automation to abuse limits, scanning, uploads, or other app features
  • Upload, post, or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or that violates third-party rights or that you do not have permission to use
  • Use the Service in any way that could damage, disable, or overburden our infrastructure or impair others' use of the Service
  • Resell, sublicense, or commercially exploit the Service except as expressly permitted by us

We reserve the right to investigate suspected violations and to remove content or suspend or terminate accounts in our sole discretion.

7. User Content and Data

You retain ownership of User Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, reproduce, and transmit User Content solely as necessary to operate, provide, improve, and secure the Service (including backup and disaster recovery).

You are solely responsible for User Content and represent and warrant that you have all rights necessary to submit and use it and that it does not violate these Terms or any applicable law.

If you share projects by link, anyone with that link may be able to access the shared content. You are responsible for how you distribute share links. Shared projects may expire and be deleted automatically after a limited period (for example, up to 30 days), depending on how the feature is configured.

7.1 Scan-to-project and AI processing

If you use scan-to-project, files and text you submit may be sent to third-party AI providers (for example, OpenAI) through our backend to extract structured protocol content. You agree to that processing and to the applicable third-party terms and privacy policies. Extracted output may be stored as part of your project data when you create or update a project from a scan result.

7.2 Step images

Images attached to steps may be stored in cloud storage when sync is enabled. We may optimize image format or size for performance and display.

7.3 Local storage and cloud sync

The Service supports local device storage and optional cloud sync. If cloud sync is disabled, your data may remain local-only and may be permanently lost if the app is deleted, your device is reset, or local storage is otherwise cleared. You are responsible for backing up your data as needed.

8. Subscriptions and Lab Laps Pro

Lab Laps Pro is a recurring subscription that unlocks enhanced app features. Feature availability may vary by plan, platform, and app version.

Billing and auto-renewal. Subscriptions are billed through the app store linked to your device account (e.g., Apple App Store or Google Play) and automatically renew unless canceled at least 24 hours before the end of the current billing period. You authorize the applicable app store to charge your payment method until you cancel.

Payment processing. App stores process payment transactions for mobile subscriptions. We may use subscription service providers (e.g., RevenueCat) to validate entitlements and manage subscription status. Your payment relationship for in-app purchases is with the app store; we do not store your full payment card details.

Cancellation. You can manage and cancel subscriptions in your app store account subscription settings. Cancellation takes effect at the end of the active billing period; no refunds for the unused portion of the current period.

Refunds. Refund requests are handled by the app store provider under its policies. We do not control refund decisions.

Price changes. Subscription prices may change. Where required by the app store or law, we will provide notice and obtain consent as applicable.

Trials and promotions. Trial or promotional terms, if offered, are disclosed in the app or App Store listing at the time of sign-up.

Taxes. Prices are as displayed; taxes may be included or added as required by law. You are responsible for any taxes imposed in your jurisdiction.

9. Service Availability

We strive to keep the Service available and reliable but do not guarantee uninterrupted, error-free, or secure operation. The Service is provided on an "as available" basis. We may change, limit, or discontinue features at any time with or without notice.

10. Intellectual Property

The Service, including software, design, branding, logos, and original content (excluding User Content), is owned by Lab Laps or its licensors and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, reverse engineer, decompile, disassemble, or create derivative works of the Service or any part of it, except as expressly permitted by these Terms or applicable law. No license is granted to you except the limited right to use the Service in accordance with these Terms.

11. Medical and Professional Use Disclaimer

THE SERVICE IS AN ORGANIZATIONAL AND TIMING TOOL ONLY. IT DOES NOT PROVIDE MEDICAL, CLINICAL, REGULATORY, LEGAL, OR SAFETY ADVICE. You are solely responsible for validating all procedures, calculations, timing, and compliance requirements for your use case. You must independently verify any scan or AI-generated output before use in any real workflow. We are not liable for any reliance on the Service for decision-making in regulated or safety-critical contexts.

11.1 Tools, calculations, and AI output

The Service may include in-app tools such as calculators, converters, dilutions, or other computational or reference features. These tools and any calculations or results they produce may contain errors, be inaccurate, or be unsuitable for your specific use. We do not warrant the accuracy, completeness, or reliability of any tool output or calculation. You are solely responsible for verifying all results before relying on them for any purpose.

Scan-to-project, AI-assisted parsing, and any other automated extraction or processing may also produce errors, omissions, or incorrect output. We are not liable for any inaccuracy in or reliance on such output. You must independently verify all AI-generated or scanned content before using it in any workflow, experiment, or decision. We are not responsible for any loss, damage, or consequence arising from incorrect calculations, tool errors, or AI/scan errors.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected. No advice or information from us creates any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions, the above exclusions may not apply to you, and our liability will be limited to the maximum extent permitted by law.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAB LAPS OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF DATA, PROFITS, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; in such jurisdictions, our liability will be limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Lab Laps and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party right. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, if we believe you have violated these Terms, created risk or legal exposure for us or others, or where required by law.

You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including Sections 7–14 and 18–20) will survive termination. Account and data deletion are governed by our Privacy Policy.

16. App Store Terms

If you access the Service through a mobile app distributed via an app store (e.g., Apple App Store or Google Play), you acknowledge that: (a) these Terms are between you and Lab Laps, not the app store provider; (b) the app store provider has no obligation to furnish maintenance, support, or any warranty for the Service; (c) the app store provider is not responsible for the Service or its content; and (d) to the extent these Terms conflict with the app store's mandatory terms, the app store terms govern only with respect to that conflict and only to the extent required.

17. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page, and we may provide additional notice in-app or by email where appropriate. Your continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service. For significant changes, we may require you to affirmatively accept the new Terms before continued use.

18. Governing Law and Dispute Resolution

Governing law. These Terms and any dispute or claim arising out of or related to them or the Service shall be governed by and construed in accordance with applicable law. If you are a consumer in the European Union, United Kingdom, or another jurisdiction that grants mandatory consumer rights, nothing in these Terms affects those rights, and the laws of your country of residence may apply to certain matters.

Informal resolution. Before initiating any formal dispute resolution, you agree to contact us at support@lablaps.com and attempt to resolve the dispute informally for at least 30 days.

Disputes. Any dispute that is not resolved informally shall be resolved in the competent courts in accordance with applicable law. Where permitted by law, you and we each waive the right to a trial by jury and to participate in a class action. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction for alleged infringement of intellectual property or other proprietary rights.

19. General

Severability.If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.

Entire agreement. These Terms, together with the Privacy Policy and any other policies or guidelines we post in the Service, constitute the entire agreement between you and Lab Laps regarding the Service and supersede any prior agreements.

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms or our rights or obligations without restriction. Any attempted assignment in violation of this section is void.

Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by us.

Force majeure. We are not liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, labor disputes, government actions, internet or telecommunications failures, or power outages.

Export compliance. You agree to comply with all applicable export and import laws and regulations. You may not use or export the Service in violation of U.S. or other applicable export laws.
