Terms of Service

1. Acceptance of Terms
By accessing or using Lab Laps ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.
2. Description of Service
Lab Laps is a web-based application that allows users to create, manage, and organize laboratory timers, projects, steps, and groups. The Service provides features including but not limited to:
- Creating and managing timer projects
- Organizing timers into groups and steps
- Synchronizing data across devices through cloud storage
- Sharing projects with others via share links
- Scan-to-project: extracting lab protocols from photos or PDFs (e.g., via browser OCR or optional AI-powered parsing)
- Uploading and storing images attached to protocol steps (e.g., diagrams, notes)
- Account management and authentication
Some features, including higher limits on scan-to-project and image uploads, are available only with a Lab Laps Pro subscription as described in Section 6.
3. User Accounts
To access certain features of the Service, you may be required to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and identification
- Accept all responsibility for activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Transmit any malicious code, viruses, or harmful data
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers connected to the Service
- Use automated systems to access the Service in a manner that sends more request messages than a human could reasonably produce in the same period
- Share content that is illegal, harmful, threatening, abusive, or violates any third party's rights
- Upload or submit images or other content that you do not have the right to use, that infringe intellectual property or privacy rights, or that contain illegal, harmful, or offensive material
- Abuse the scan or image upload features (e.g., bypassing rate limits, automated bulk scanning, or using the service to process content in violation of these Terms)
5. User Content and Data
You retain ownership of all content and data you create, upload, or store using the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit your User Content solely for the purpose of providing the Service to you.
You are solely responsible for your User Content. We do not claim ownership of your User Content, and you represent and warrant that you have all necessary rights to use, store, and share your User Content through the Service.
When you share a project via a share link, you understand that the shared content may be accessible to anyone with the link. Shared projects expire after 30 days, after which they may be automatically deleted.
5.1 Scan-to-project and AI processing
The scan-to-project feature may send images or text from your documents to third-party AI services (e.g., OpenAI) to extract protocol structure. By using this feature, you agree that such content may be processed by those providers in accordance with their respective terms and privacy policies. We do not retain the images or raw content you submit for scanning after the response is returned; the extracted protocol data (e.g., title, steps, durations) may be saved as part of your project if you choose to create or update a project from the scan.
5.2 Step images
Images you upload and attach to steps are stored in our infrastructure (e.g., cloud storage) and are associated with your account and project. You are responsible for ensuring you have the right to upload and store such images and that they comply with these Terms and applicable law. We may convert or optimize images (e.g., format, size) for storage and display.
6. Subscriptions and Lab Laps Pro
Lab Laps offers a paid subscription tier, Lab Laps Pro ("Pro"), which provides enhanced features such as unlimited projects, unlimited steps and timers per project, unlimited scan-to-project use (where the free tier may be limited, e.g., to a set number of scans per week), step image uploads and cloud storage for images, extended color and emoji options, and cloud sync. The specific Pro features and their scope are described on the Service at the time of your subscription. We may modify, add, or remove Pro features with reasonable notice when feasible. Pro features are provided "as is" and we do not guarantee their continuous availability or that they will meet your specific needs.
Billing and auto-renewal. Pro is a recurring subscription. You will be charged at the start of each billing period (monthly or yearly, as selected) until you cancel. By subscribing, you authorize us to charge your chosen payment method on a recurring basis. Fees are in the currency and at the rate displayed at the time of purchase. You are responsible for providing a valid payment method and for any fees (e.g., overdraft, currency conversion) imposed by your financial institution.
Payment processing. Payments are processed by a third-party payment processor (e.g., Stripe). By subscribing, you also agree to the processor's applicable terms. We are not responsible for the processor's actions, failures, errors, or for any payment disputes between you and the processor or your card issuer. Chargebacks or payment disputes should be addressed with the processor or your financial institution; we may suspend or terminate your Pro access if a payment is reversed or disputed.
Cancellation. You may cancel your Pro subscription at any time through your account or the applicable subscription management portal. Cancellation takes effect at the end of your current billing period. You will retain Pro access until that date. There are no refunds for the remainder of the current period after cancellation. Upon the end of your paid period, your access will revert to the free tier. Your data will be retained in accordance with our Privacy Policy; you may need to remain within free-tier limits (e.g., project, step, or timer caps) after reverting.
Refunds. We do not provide refunds for partial billing periods or for unused portions of a subscription, except where required by applicable law. We may, at our sole discretion, issue refunds in exceptional circumstances. If your jurisdiction entitles you to a refund, you must contact us to request it; we will comply with mandatory refund rights.
Price changes. We may change Pro subscription fees. We will give you at least 30 days' notice before a price change applies to your next renewal. The notice may be sent by email or displayed in the Service. If you do not agree to the new price, you must cancel before the change takes effect. Continued use or failure to cancel after the notice period constitutes acceptance of the new price.
Trials and promotions. If we offer a free trial or promotional pricing, the specific terms of that offer will apply. At the end of a trial, your subscription will convert to a paid plan and we will charge your payment method unless you cancel before the trial ends.
Taxes. All fees are exclusive of applicable taxes (e.g., VAT, sales tax) unless we are required by law to collect them. You are responsible for any taxes imposed in your jurisdiction.
7. Service Availability
We strive to provide reliable service but do not guarantee that the Service will be available at all times, uninterrupted, secure, or error-free. The Service may be subject to scheduled maintenance, updates, or technical issues beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.
8. Intellectual Property
The Service, including its original content, features, and functionality, is owned by Lab Laps and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
We do not guarantee the accuracy, completeness, or usefulness of any information on the Service. You use the Service at your own risk.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAB LAPS, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAB LAPS ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE; ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN; ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; OR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless Lab Laps and its affiliates, officers, agents, employees, and partners from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party rights.
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. If you have a Pro subscription, it will end at the time of termination and you will not be entitled to a refund for any unused portion.
You may delete your account at any time through the account settings page. Upon account deletion, your data will be removed in accordance with our Privacy Policy, subject to any legal retention requirements.
13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Lab Laps operates, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
